These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client" or "Host") and FocalStay ("Company," "we," "us," or "our") governing your access to and use of the focalstay.com website, client dashboard, and remote media creation pipelines.

1. Acceptance of Terms

By visiting our site, submitting an Airbnb/Vrbo URL, requesting a visual audit, or placing an official order for any productized asset package, you agree to be bound entirely by these Terms. If you do not accept these parameters, you are prohibited from utilizing our service pipeline.

2. Description of Remote Services

FocalStay provides a 100% remote digital production service model. We do not dispatch field videographers, coordinate on-site property travel, or supply physical production gear. We programmatically alter, upscale, enhance, and transform digital assets provided directly by the client into structured marketing video loops, social reels, or avatar welcoming modules using our cloud-hosted AI tech stack.

3. Client Representations & Media Clearances

When utilizing our intake portal (/start) to upload media files, you explicitly represent and warrant that:

• You are the rightful owner of the property listing, an authorized property management entity (PMC), or possess explicit, unencumbered commercial license permissions to use and modify the uploaded images and video clips.

• Your submitted media assets do not violate the intellectual property rights, privacy rights, or copyrights of any third-party photographer or individual.

• FocalStay is granted a non-exclusive, worldwide, royalty-free license to use, host, process, and manipulate your submitted assets solely to execute your purchased deliverables.

4. Quality Control & Upload Guidelines

Because we operate an automated cloud rendering pipeline, the fidelity of our outputs is directly contingent upon the baseline quality of your uploads. Clients agree to follow the standard onboarding instructions (landscape orientation, adequate daytime lighting, high resolution). FocalStay is not responsible for visual artifacting or engine warping caused by blurry, vertically shot, or low-resolution input files.

5. Payment, Delivery, and Revision Architecture

• Payment Terms: Payment for productized kits (Tier 1 and Tier 2) is required 100% upfront before processing begins. Recurring retainer models (Tier 3) operate on a monthly billing cycle.

• Turnaround Expectation: Standard turnaround expectations (24 to 48 hours) are estimates, not rigid guarantees. Unforeseen cloud rendering latency or system load variances may impact exact delivery windows.

• Revision Windows: Every standard package includes up to two (2) rounds of contextual revisions (e.g., swapping music tracks, correcting avatar text pronunciation, altering a specific visual transition). Revision requests must be submitted through our interactive dashboard within 14 business days of file delivery.

• Refund Exclusion Policy: Due to the instant, non-recoverable resource allocation of computing power and premium AI rendering credits required to process your property files, all sales are final. No refunds will be issued once processing has commenced.

6. Intellectual Property Rights Over Completed Works

Upon full completion of your financial payment obligation, FocalStay transfers all commercial usage rights of the finalized, delivered 4K property walkthrough videos, enhanced photos, and custom avatar assets to the Client. The Client is free to host, upload, distribute, and monetize these final media assets across any short-term rental platform or social marketing channel. FocalStay retains the right to use short snippets of the finished videos as portfolio case studies on our website for promotional purposes unless explicitly requested otherwise by the Client.

7. Limitation of Liability

FocalStay, its founders, and its technical operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of platform search ranking, loss of rental revenue, or guest booking cancellations resulting from your use of or inability to use our creative video assets.

8. Governing Law

These Terms shall be governed, interpreted, and enforced in accordance with the laws of the jurisdiction in which the founding corporate entity of FocalStay is legally registered.
